1. Acceptance and scope
These Terms of Service (“Terms”) apply to your use of the Smartel website (the “Website”), including product information and contact details. The Website is operated by SMARTEL INFORMATION TECHNOLOGY LIMITED (“Smartel”, “we” or “us”), a company headquartered in Hong Kong.
By using the Website you agree to these Terms. If you act for a company, you confirm you are authorised to bind it. Our paid services are provided under a separate service agreement or order form (a “Service Agreement”); if it conflicts with these Terms, the Service Agreement prevails for those services.
2. Our services and Website information
We provide cloud communication and value-added services, including international SMS, SMS API, SMS verification service, SMS marketing platform, international voice services, global numbers, WhatsApp Business messages, Viber Business messages and the Verigator verification product.
Coverage, delivery rates, response times, features and other figures shown on the Website are for general information only. They may change without notice and are not an offer or warranty; binding terms are only those in a quotation or Service Agreement. Messaging and voice services also depend on third-party mobile network operators, platforms and regulators outside our control.
3. Eligibility and accuracy of information
The Website and our services are for businesses and professionals aged 18 or over. Information you provide to us in trial and quotation requests must be accurate and current.
Access to our platforms and APIs, if provided, is granted under a Service Agreement. Keep your account credentials and API keys confidential, and tell us promptly if you suspect unauthorised use. You are responsible for activity under your credentials.
4. Acceptable use and messaging compliance
You must not use the Website or our services to:
- break any law, or infringe anyone's rights;
- send or facilitate spam, phishing, fraud, impersonation, or unlawful, deceptive or sexually explicit content, or abusive traffic such as SIM-box or grey-route activity;
- gain or attempt unauthorised access to, scrape, overload, scan or test the vulnerability of the Website or our systems, bypass rate limits, or introduce malicious code.
If you send messages or calls through our services, you are responsible for having a lawful basis (including recipient consent where required by the Personal Data (Privacy) Ordinance and the Unsolicited Electronic Messages Ordinance (Cap. 593) of Hong Kong, and equivalent laws in the destination country), honouring opt-out requests and do-not-call / do-not-disturb registers, registering sender IDs and templates where operators or regulators require it, and complying with the laws of each destination country. To meet operator and regulator rules or to protect the network, we may filter, delay, block or suspend traffic and accounts, as set out in your Service Agreement.
5. Fees and payment
Fees, currencies, billing cycles, taxes and payment terms are set out in your quotation or Service Agreement. Any prices or rates shown on the Website or discussed outside a signed document are indicative, may vary by destination, operator, volume and exchange rate, and do not bind us until confirmed in writing.
6. Intellectual property
The Website content, software, logos and the “Smartel” name and marks belong to us, our affiliates or our licensors. You may view the Website for your own business evaluation of our services. You may not otherwise copy, modify, distribute or commercially exploit its content, or use it to build a competing product, without our written permission.
Feedback you send us may be used by us without obligation to you.
7. Third-party services and privacy
The Website may link to third-party services (for example mobile network operators, WhatsApp/Meta, Viber and other platforms). They are governed by their own terms and privacy policies, and we are not responsible for them. Using channels such as WhatsApp or Viber through our services also requires you to follow the platform's own policies.
How we collect and use personal data through the Website is described in our Privacy Policy. Personal data processed through our services is handled as set out in the Service Agreement and applicable data-processing terms.
8. Disclaimers and limitation of liability
To the fullest extent permitted by law, the Website and its content are provided “as is” and “as available” without warranties of any kind, and nothing on the Website is legal, regulatory, tax or other professional advice. Warranties and service levels for paid services apply only as set out in your Service Agreement.
Nothing in these Terms limits liability that cannot be limited by law, including for fraud or for death or personal injury caused by negligence. Otherwise, we are not liable for indirect or consequential loss, or loss of profit, revenue, data or business opportunity arising from your use of the Website. Liability for paid services is governed solely by the Service Agreement. You agree to indemnify us against claims arising from your breach of these Terms or from messages and content you send in breach of law or third-party rights.
We may suspend or restrict access to the Website, an account or a trial if we reasonably believe these Terms have been breached, there is a security or legal risk, or an operator, regulator or court requires it.
9. Governing law, changes and contact
These Terms are governed by the laws of the Hong Kong Special Administrative Region, and the courts of Hong Kong have exclusive jurisdiction, unless a Service Agreement provides a different dispute-resolution mechanism for the services it covers. Mandatory consumer or data-protection rights under applicable law are not affected.
